Annual Show Hosted by the Stallknecht-Morgan Museum Gem & Mineral Society, Inc. “Up and Coming in Ontario” Gem and Mineral Show June 20-22, 2008 Malheur County Fairgrounds, Ontario, Oregon This Contract entered into by and between the dealer in paragraph 22, (hereafter called “Dealer”) and the Stallknecht-Morgan Museum Gem & Mineral Society, Inc.(hereafter called “SMMGMS”) shall become effective as of the date of acceptance by SMMGMS. The Northwest Federation of Mineral Societies 2008 Show (hereafter called the “Show”) will be hosted by the SMMGMS and held at the Malheur Co. Fairgrounds, Ontario, Oregon facility during the following period: Saturday, June, 21, 2008 10 a.m. to 6 p.m. Sunday, June 22, 2008 10 a.m. to 5 p.m. 1. The SMMGMS shall not be liable to a Dealer should it fail to conduct the Show for any reason beyond reasonable control of SMMGMS. If the Show has to be canceled, the Dealer shall have all prepaid money returned and this contract shall be null and void. 2. The SMMGMS shall, to the best of its ability, provide security during the entire show, which includes installation and dismantling. However, the SMMGMS, any of its members, individually or collectively, will assume no responsibility or liability for the safety of the dealers’ exhibits or the employees from robbery, pilferage, damage by fire, storm, rain, flood, or any other cause. The Dealer shall protect and defend the SMMGMS against and indemnify and save SMMGMS harmless from all liabilities, claims, demands, and causes of actions in any way connected with or arising out of the conduct of the Dealer, including reasonable attorney’s fees incurred by SMMGMS arising out of this Contract. 3. Only the Dealer Chairman for the Show shall have authority to sell space, collect money, assign exhibit spaces, or make any arrangements with any dealer. 4. The SMMGMS reserves the right to enforce all such rules it deems advisable, in its sole discretion, for the successful conduct of the Show. The Show Committee reserves the right to make any changes, amendments, deletions, or additions to the Contract as may be considered necessary for the proper conduct of the Show, providing written notice is mailed to the Dealer not less than sixty (60) days prior to the opening of the Show. Such decisions shall be final and binding on both parties. 5. Basic electrical service will be provided to each large exhibit space at no charge. The service will typically consist of one 117 vac, 60 cycle, 20 amp circuit. The Dealer shall furnish needed extension cords. Use of 3 prong, grounded electrical plugs are recommended. If additional charge for each additional circuit will be levied against the Dealer (payable at the time the connection is made.) 6. The Dealer shall occupy only the Exhibit Space assigned and shall in no way extend into aisles or adjoining areas. Exhibits display must not interfere with other dealers or exhibits as to height of cases, materials, or lighting arrangements. The general appearance of the Show shall take precedence over any individual exhibits. The SMMGMS Show Committee may request the removal of objectionable materials. All exhibits must be kept clean. 7. The Dealer’s exhibit space shall be complete and have a representative present during all show hours. 8. The Dealer shall furnish their own table coverings. These coverings will cover ALL table tops. 9. The Dealer assumes full responsibility for payment of All State sales tax. (However, there is no sales tax in Oregon.) 10. The Dealer shall not assign this Contract nor sublet any of his assigned space to anyone else. 11. All Material and Merchandise exhibited or offered for sale by the Dealer shall be honestly and correctly labeled. Any Dealer who misrepresents material will be asked to correct the error and/or remove the item from the exhibit. If he fails to do so, said Dealer’s exhibit space will be closed without recourse. In such case, no refund shall be made. Sales and solicitations are permitted by authorized dealers at their rental space. SMMGMS reserves the right to eject any persons, material, equipment, booth design, etc. which in its opinion, are objectionable. 12. No Dismantling, without permission of the Show Chairperson, shall start before 5:00 p.m. on Sunday, June 22, 2008 and must be completed by 9:00 p.m. 13. The use by any Dealer of carnival-type, boisterous methods of selling or the employment of voice amplifiers, loud speakers, or megaphones is prohibited. 14. Unlicensed retailing in any area of the Show premises, grounds, or parking lots, such as “tailgate” sales, is prohibited. 15. This Contract shall not become effective unless signed by the Dealer, accomplished by the 50% deposit, and is subsequently accepted by SMMGMS. Balance is due on or before June 1, 2008. 16. It is understood and agreed that the joint signing of this Contract constitutes a voluntary acceptance of its terms and provisions by each party. 17. Once space has been allocated to the Dealer, through acceptance of this written Contract, Dealer shall be liable for all fees as herein provided. No cancellation or revocation hereof provided. No cancellation or revocation hereof by the Dealer will be accepted by the SMMGMS, and, in the case of non-performance of the Contract by the Dealer, the amount paid by the Dealer shall be considered accrued damages and shall accrue to the SMMGMS. 18. NOTE: The Malheur Co., Fairground facility does not allow: animals or smoking in the buildings, alcoholic beverages or firearms on the premises. 19. The SMMGMS welcomes exhibits of an educational nature, and has available a limited number of display cases which may be reserved at no cost to the Dealer. SMMGMS cases are approximately two feet tall, two feet deep, and four feet wide. 20. Dealer will bring and exhibit: Yes ____ No ___. Club case needed: Yes ___ No ___ 21.
